A highly successful, privately-held energy asset management firm in Dallas with a 40-year track record in the oil and gas industry is seeking a Corporate & Securities attorney to lead its legal function. The firm specializes in upstream and midstream oil and gas assets, including working interests, mineral rights, real property assets, and other energy interests.
This attorney will be the Company's primary attorney supporting the firm’s investment and capital raising operations. This is a rare chance to take ownership of legal strategy across a sophisticated investment platform, including structuring private equity funds, leading Regulation D offerings, and advising on M&A transactions.
This is a high-impact position with significant autonomy that reports to the CEO and has direct interaction with executive leadership team. The role will be an in-office position at the firm’s headquarters in north Dallas and offers flexible hours, a collaborative culture, and highly competitive compensation and benefits.
Qualified candidates will have 5+ years of experience as a corporate/securities attorney in private practice or relevant in-house experience, a strong command of Regulation D and the Investment Adviser Act, and experience with private funds and investments, including structuring and formation, with the ability to assist in drafting fund documents such as PPMs, operating agreements, subscription documents, and investor side letters. The attorney will also advise on Investment Company Act exclusions, especially for real property and mineral right structures.
Qualified candidates will also need to have experience with M&A transactions, corporate governance documents, and asset/equity sales. Specialized knowledge for fund structures and capital raising involving oil and gas assets is preferred, but not required.
